TERMS AND CONDITIONS
Last Updated: 8/21/2026
These Terms and Conditions (“Terms”) govern access to and use of the website operated by PWDR MEDIA (“Company,” “we,” “us,” or “our”), as well as the purchase and use of marketing, advertising, consulting, creative, digital, and related services provided by the Company.
By accessing or using our website, requesting services, approving a proposal or scope of work, submitting payment, or otherwise engaging the Company to provide services, you (“Client,” “Customer,” “you,” or “your”) acknowledge that you have read, understood, and agree to these Terms.
1. WEBSITE USE
The Company provides this website for informational, promotional, communication, and commercial purposes. You may use the website only for lawful purposes and in accordance with these Terms.
You agree not to misuse the website, attempt to gain unauthorized access to the website or its systems, interfere with its operation, introduce malicious software or code, scrape or reproduce website content without authorization, impersonate another individual or organization, or use the website in any manner that violates applicable law.
The Company reserves the right to restrict or terminate access to the website when we reasonably believe these Terms have been violated.
2. WEBSITE INFORMATION
We make reasonable efforts to ensure information presented on our website is accurate and current. However, marketing services, pricing, availability, descriptions, timelines, third-party platform requirements, and other information may change.
Unless expressly stated otherwise in a written agreement, information appearing on the website does not constitute a guarantee of specific marketing, financial, sales, traffic, search-engine, advertising, or business results.
3. INTELLECTUAL PROPERTY
Unless otherwise stated, the website and its original content, including text, graphics, logos, branding, designs, layouts, photographs, videos, and other materials created or owned by the Company are protected by applicable intellectual property laws.
No Company-owned material may be reproduced, distributed, modified, republished, sold, or commercially exploited without prior written authorization from the Company.
Third-party trademarks, logos, names, photographs, and other intellectual property remain the property of their respective owners.
4. THIRD-PARTY WEBSITES AND SERVICES
Our website or services may reference, integrate with, or link to third-party websites, applications, advertising platforms, social-media platforms, hosting providers, software, analytics services, or other external services.
The Company does not control third-party services and is not responsible for their availability, policies, content, security, pricing, performance, algorithm changes, account restrictions, or other actions.
Use of third-party services may be subject to separate terms and policies established by those third parties.
TERMS AND CONDITIONS FOR MARKETING SERVICES
5. PURCHASE AND AUTHORIZATION OF SERVICES
When a Client purchases, orders, approves, or otherwise authorizes services from the Company, the Client agrees to these Terms together with any applicable proposal, quote, invoice, order, statement of work, campaign agreement, or other written service agreement.
Services may include, without limitation, digital marketing, advertising management, content creation, graphic design, website services, search engine optimization, social-media management, consulting, branding, lead-generation support, campaign development, media services, and other marketing-related services agreed upon between the Company and Client.
If a separately executed written agreement expressly conflicts with these Terms, the terms of the separately executed agreement will control to the extent of that conflict.
6. INDEPENDENT CONTRACTOR AND CONTRACTED AGENT STATUS
Unless expressly agreed otherwise in writing by both parties, the Company performs services as an independent contractor and contracted agent for the Client.
The Company's engagement to perform marketing, advertising, promotional, creative, or related services does not establish that the Company is owned by, employed by, partnered with, affiliated with, endorsed by, or otherwise formally associated with the Client.
Neither party may represent that an official affiliation, partnership, joint venture, employment relationship, ownership relationship, or other formal association exists unless such affiliation has been expressly established through the mutual agreement of both parties.
Where the Company is authorized to act as the Client's contracted agent, that authority is limited to the specific services, activities, accounts, communications, purchases, campaigns, or other responsibilities authorized by the Client. The Company has no authority to bind the Client to obligations outside the agreed scope without additional authorization.
7. SCOPE OF SERVICES AND DELIVERABLES
The specific services and deliverables provided will be determined by the applicable service package, proposal, statement of work, invoice, order, or other written agreement between the parties.
Unless otherwise expressly agreed in writing, requested work falling outside the agreed scope may require additional fees and may be subject to a separate delivery timeline.
The Client is responsible for providing accurate information, materials, account access, approvals, credentials, brand assets, feedback, and other resources reasonably necessary for the Company to perform the services.
8. MAXIMUM 30-DAY DELIVERY TIMELINE
Unless otherwise agreed in writing by both parties, deliverables will have a maximum delivery timeline of thirty (30) calendar days beginning from the date the Company has received all information, materials, approvals, access, payment requirements, and other items reasonably necessary to begin and complete the applicable work.
The 30-day maximum timeline applies to deliverables within the Company's reasonable control.
A delivery timeline may be extended when delays result from circumstances outside the Company's reasonable control, including Client-requested changes, delayed approvals, failure to provide required information or access, third-party platform outages or reviews, force majeure events, or other Client-caused or third-party-caused delays.
When such a delay occurs, the delivery deadline will be extended by a reasonable period corresponding to the delay.
9. CLIENT REVIEW AND APPROVAL
The Client is responsible for reviewing deliverables and providing requested approvals, revisions, corrections, or other feedback within a reasonable period.
The Client is responsible for verifying factual claims, business information, pricing, offers, product information, legal disclosures, contact information, and other Client-specific information before approving materials for publication.
Once the Client approves a deliverable for publication or distribution, the Company may rely upon that approval.
10. FEES, INVOICING, AND PAYMENT
Fees for services will be communicated through the applicable proposal, service agreement, invoice, order, or other written arrangement.
Unless another payment schedule has been expressly agreed upon in writing, all payments for services rendered must be paid, charged, or debited no later than fourteen (14) calendar days after the applicable services or deliverables have been delivered.
By providing an authorized payment method and agreeing to automatic or scheduled billing, where applicable, the Client authorizes the Company or its authorized payment processor to debit the amount properly due for services in accordance with the agreed payment terms.
The Client is responsible for maintaining accurate and valid billing and payment information.
Failure to make payment when due may result in suspension of current services, withholding of additional deliverables, refusal of additional work, termination of services, or reasonable collection efforts, subject to applicable law and any separate written agreement.
11. THIRD-PARTY COSTS
Unless specifically included in the agreed service price, third-party expenses are separate from the Company's service fees.
These expenses may include advertising spend, media purchases, domain registrations, hosting, software subscriptions, stock assets, printing, licensing fees, influencer fees, platform charges, or other third-party expenses necessary to execute a campaign.
The Client will be informed of material third-party expenses requiring Client payment or authorization when reasonably practicable.
12. REVISIONS AND CHANGES
The number and extent of revisions included with a service may be specified in the applicable proposal, package, or statement of work.
Requests that materially change the original scope, strategy, design, campaign, deliverable, or project requirements may constitute additional work and may require additional fees and delivery time.
The Company will communicate material additional charges before performing out-of-scope work requiring those charges.
13. MARKETING RESULTS
Marketing and advertising performance can be affected by factors outside the Company's control, including consumer behavior, market conditions, competition, advertising budgets, platform algorithms, search-engine changes, third-party policies, Client products or services, pricing, reputation, sales processes, and economic conditions.
Accordingly, unless expressly guaranteed in a separate written agreement, the Company does not guarantee any specific number of sales, leads, customers, impressions, clicks, followers, rankings, conversions, revenue, profit, return on advertising spend, or other performance result.
Any projections, forecasts, estimates, examples, or previous campaign results are provided for informational purposes and are not guarantees of future performance.
14. CLIENT-PROVIDED MATERIALS
The Client represents that it owns or has appropriate authorization to use any logos, photographs, videos, trademarks, music, copy, customer information, databases, graphics, or other materials supplied to the Company.
The Client grants the Company permission to use such materials to the extent reasonably necessary to provide the contracted services.
The Client remains responsible for obtaining any rights, permissions, releases, or licenses required for materials supplied by the Client.
15. OWNERSHIP OF DELIVERABLES
Ownership of final deliverables will be governed by the applicable proposal or service agreement.
Unless otherwise agreed in writing, and subject to full payment of all amounts due, the Client will receive the usage or ownership rights specifically identified for the final deliverables.
The Company retains ownership of its pre-existing materials, methodologies, processes, templates, tools, software, know-how, internal systems, and other intellectual property developed independently of the Client engagement unless expressly transferred in writing.
Third-party materials remain subject to the applicable third-party licenses.
16. CONFIDENTIALITY
Each party may receive confidential or proprietary information from the other in connection with the services.
Each party agrees to use reasonable measures to protect confidential information and to use such information only as necessary to fulfill the business relationship, except where disclosure is required by law or authorized by the party that owns the information.
17. CANCELLATION AND TERMINATION
Either party may terminate services according to any cancellation or termination provisions contained in the applicable proposal, subscription, statement of work, or service agreement.
Termination does not eliminate the Client's obligation to pay for services already performed, deliverables already completed, approved third-party expenses, or other amounts properly incurred before the effective termination date.
18. LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, the Company will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the use of the website or the Company's services, including loss of profits, revenue, data, business opportunities, goodwill, or anticipated savings.
To the fullest extent permitted by applicable law, the Company's aggregate liability arising from a particular service engagement will not exceed the amount of service fees actually paid to the Company by the Client for the services giving rise to the claim, except where such a limitation is prohibited by law.
19. INDEMNIFICATION
To the extent permitted by applicable law, the Client agrees to defend, indemnify, and hold harmless the Company and its owners, officers, employees, contractors, and representatives from third-party claims, damages, liabilities, and reasonable costs arising from Client-provided materials, Client instructions, the Client's products or services, unauthorized or unlawful claims supplied by the Client, or the Client's violation of applicable law or third-party rights.
20. FORCE MAJEURE
Neither party will be responsible for delays or failures caused by circumstances reasonably outside that party's control, including natural disasters, severe weather, governmental actions, war, civil unrest, widespread internet or telecommunications failures, power outages, labor disruptions, third-party platform outages, or similar events.
Affected obligations and delivery timelines may be reasonably extended for the duration of such circumstances.
21. PRIVACY
Information collected through the website or during the provision of services will be handled in accordance with the Company's applicable Privacy Policy and applicable law.
Clients are responsible for ensuring that any personal information, customer lists, email lists, lead information, or other data supplied to the Company has been lawfully obtained and may lawfully be used for the intended marketing purposes.
22. GOVERNING LAW AND DISPUTES
These Terms will be governed by the laws of the State of [STATE], without regard to conflict-of-law principles.
Any dispute arising from these Terms or the Company's services will be handled in the courts or other dispute-resolution forum specified in an applicable written agreement or, if none is specified, in the appropriate jurisdiction within [COUNTY, STATE], subject to applicable law.
23. CHANGES TO THESE TERMS
The Company may update these Terms periodically. Updated Terms will become effective when published on the website unless otherwise stated.
Changes to these website Terms will not retroactively alter material contractual obligations under a separately executed service agreement unless agreed to by the parties or otherwise permitted by that agreement and applicable law.
24. SEVERABILITY
If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.
25. ENTIRE AGREEMENT
These Terms, together with any applicable proposal, statement of work, invoice, order, service agreement, and other expressly incorporated documents, constitute the agreement between the parties concerning the applicable website use or services and supersede prior discussions concerning the same subject matter, except as otherwise expressly stated in a separately executed agreement.
